Ms. Hillyer is a dedicated legal professional with over 17 years of experience. She serves as a legal and compliance leader at Cliffs, a multi-billion dollar international mining operation. Ms. Hillyer has global responsibility for providing legal and risk management support to ensure proper protection of Cliffs' worldwide assets. She conducts compliance, risk and legacy liability due diligence of potential acquisition targets, joint venture partners, consultants and other third parties, assists with risk allocation structuring and post-closing integration, and advises management on the risks inherent in other contractual arrangements and transactions and devises solutions to eliminate, reduce and contain those risks to levels acceptable to Cliffs and its management. She advises management on insurance-related matters, including renewal strategies and claim pursuit. Ms. Hillyer also develops, coordinates and provides globsl training and education in connection with compliance policies and procedures, including specialized training for employees in Cliffs' China, Brazil, Australia and Canada offices and sites. She coordinates with other functional areas in handling internal compliance investigations. Previously, Ms. Hillyer was elected to the equity partnership of Calfee, Halter and Griswold in Cleveland where she specialized in insurance recovery for corporate clients, commercial litigation, and white collar defense. Ms. Hillyer also has extensive courtroom experience, having served for five years as an Assistant District Attorney in the Major Trials Division of the Philadelphia District Attorney's Office.

Ms. Hillyer earned her Juris Doctorate degree from Temple University School of Law in 1994, where she was a published member of the Temple Law Review and recipient of several trial advocacy honors. She is a prolific author of scholarly works and has been recognized as an Ohio Super Lawyer Rising Star. She is a member of the Association of Corporate Counsel, the Ethics & Compliance Officer Association, the Rocky Mountain Mineral Law Foundation, and the Cleveland Metropolitan Bar Association. She is admitted to practice before the United States Supreme Court, the Sixth Circuit Court of Appeals, the federal district courts for the Northern District of Ohio and the Eastern District of Pennsylvania, the Ohio Supreme Court and the Pennsylvania Supreme Court.
